Terms and Conditions of Use

Yana App, S.A.P.I. de C.V. (hereinafter “Yana” or “We”) makes available to you these Terms and Conditions (the “Terms and Conditions”), which govern the relationship between Us and you (the “User”) regarding the use of our mobile application (compatible with Android and iOS), our website https://www.yana.ai, as well as any subdomain, domain linked or redirected to it; by accessing, using or interacting with any of these channels, you freely and knowingly agree to comply with these Terms and Conditions.

Please read these Terms and Conditions carefully, since by clicking “I accept” or by downloading, installing, accessing, using our Services or browsing our Platform, you acknowledge that you have read and understood them, including our Privacy Notice https://www.yana.ai/privacy (the “Privacy Notice” and, together with the Terms and Conditions, the “Agreement”).

If you do not agree with the entirety of this Agreement, we ask that you do not use the Platform or our Services. Accessing or using the Platform implies your full acceptance of its terms.

1. Nature of the services.

Yana is a digital Platform that provides software services through which you can interact with our virtual character (hereinafter the “Yana Character”) and its virtual world, using generative artificial intelligence (the “Services”).

Yana’s Services are solely and exclusively recreational in nature. Yana DOES NOT and WILL NOT offer medical or clinical advice. The Services may only suggest that Users seek specialized medical care in the event of a crisis. Do not use Yana’s Services as a substitute for professional assistance or advice.

Neither Yana nor the Yana Character has the ability to diagnose, prescribe, treat, cure, mitigate or prevent any disease or health condition. None of Yana’s Services should be considered the practice of medicine, psychology, therapy or professional counseling, or any other professional healthcare service. You use Yana strictly and solely at your own risk.

Yana uses artificial intelligence and may therefore contain errors. Yana DOES NOT guarantee the suitability, fairness, accuracy or completeness of any information obtained through the Platform.

2. Definitions.

For your convenience and for the purposes of this Agreement, this section provides the definitions of the following concepts, which will appear throughout this document. The following words shall be interpreted as defined in this section. For purposes of differentiation, the terms defined below will be written with an initial capital letter, and only when used in that format shall they be interpreted as defined.

Defined terms shall be used regardless of the grammatical gender or number in which they are expressed, without affecting their meaning, and the meaning given to them in this Agreement shall prevail.

3. Use of the platform.

By using and/or browsing the Platform, you undertake to use the Platform in accordance with this Agreement, in a diligent, proper and lawful manner, and in accordance with morality and good customs. You also undertake to be liable for any damages of any nature that Yana may suffer, directly or indirectly, as a result of the breach of any of the obligations arising from this Agreement.

At Yana we take privacy and data protection, as well as security measures, very seriously, which is why we make available to you the Privacy Notice at https://www.yana.ai/privacy.

By using and/or browsing the Platform, you represent that:

• You are acting in your own name;

• You provide true, accurate and complete information to Yana.

4. User identification.

To ensure the proper provision of the Services, you must create a User Profile and authorize the necessary and sufficient permissions on your electronic device. By creating your User Profile, you represent that the data you provide to us is real, accurate, current and truthful, and we therefore accept it as true and shall not be liable for any false data you enter.

By having a User Profile, you undertake to keep your email address valid and functional at all times, since you designate that account as the official means of communication for any notice from Yana regarding the Agreement and the Services, it being understood that, by the mere fact of its receipt on your email server, it shall be deemed effectively received and accepted, regardless of whether or not you read such email.

Yana cannot guarantee the identity of registered Users; you therefore undertake to notify Yana of the theft, disclosure or loss of your password or username, immediately informing us at the following email address: [email protected].

5. Password.

It is important that you keep your password secure and confidential and that you do not allow any other person to use your email address or password to access the Platform. You also undertake not to do anything that helps someone who is not a registered User access any secure area of the Platform, and not to create additional accounts in order to abuse the functionality of the Platform or other Users, or to attempt to impersonate another User. If you believe someone else has access to your account, please let us know immediately so that we can cancel your account as soon as possible.

You are solely responsible for any use made of your Profile and your Password.

6. Subscriptions.

Yana provides free Services; however, some Services offered through the Platform will only be accessible to Users who purchase one of the Subscriptions offered on the Platform by paying a Subscription fee, or who have a promotion, offer or coupon that grants them access.

If you decide to purchase a Subscription with Yana, you must observe the following rules:

• You will have access to and may view the Services provided by Yana as long as they are active.

• Access does not permit group or institutional use of the Platform’s content.

By subscribing to any of our Services, you will enjoy the following rights:

1. A. Subscription Term.

Your Subscription to the Services will remain active as long as you do not cancel your Subscription and your payment method is not declined by the payment services.

To use our Services, you must have internet access and a device capable of accessing the Platform

2. B. Subscription Charges.

Subscription charges and/or any other additional charges you incur in connection with the use of Yana’s Services, such as taxes and possible transaction fees (if applicable), will be added to the Subscription payment and charged to the payment method selected on your corresponding billing date.

A billing cycle is the period running from the date the User subscribes to one of the plans offered by Yana until the end of the term of that plan; that is, the billing cycle will depend on the type of Subscription and the date on which you subscribe. In certain cases, the payment date may change, for example, if the payment method was not successfully set up or if the paid Subscription started on a different day than the Subscription.

3. C. Cancellation of the Subscription.

You may cancel your Subscription at any time and will keep access to the Services until the end of your billing period.

Unless otherwise provided by applicable law or the policies of the corresponding store, Yana does not grant refunds, discounts or credits for Subscription periods purchased and not used or partially used.

Cancellations and refunds are handled through the corresponding store in accordance with its policies; Yana may review isolated cases at the User’s request via [email protected], at its discretion. Upon Cancellation, the Subscription will automatically end at the close of its billing period, and you may continue to use the free services, if available, and reactivate your subscription at any later time.

4. D. Changes to Subscription prices and plans.

We reserve the right to modify Subscription plans and their prices at any time. Since Subscriptions are purchased and managed through the app stores (Apple App Store or Google Play Store), any price change applicable to active Subscriptions will be notified and managed in accordance with the policies and timeframes of the corresponding store, including, where such policies require it, obtaining your consent. If you do not accept the new price when your consent is required, your Subscription will continue under the conditions established by the corresponding store until it expires.

All Subscriptions offered by Yana will have the prices shown on the Platform.

5. E. Virtual Coins and Customization of the Virtual World.

When interacting with the Platform, you may obtain virtual coins by completing certain activities available within it or by purchasing them directly (“One Time Purchases”) through the payment methods available in the stores (Apple Store if you use an iOS device or Google Play Store if you use an Android device). Virtual coins may only be used to access customization items and features available within the Platform’s virtual environment.

Customization options will be subject to content availability, the technical characteristics of the service and the guidelines established by the Platform. Accordingly, certain items, styles, attributes or combinations may be limited, modified or unavailable under certain circumstances.

Customization limitations shall not be interpreted as a form of discrimination, exclusion or preference based on race, ethnic origin, nationality, skin color, religion, gender, sexual orientation, disability or any other condition. The Platform is committed to diversity, inclusion and respect for all people.

7. Free trial.

In some cases, Yana may offer you free, time-limited access to certain features of the Service (the “Free Period”), so that you can see how it works before deciding whether to purchase it. The duration, conditions and scope of this trial may vary and will be communicated to you when you activate it.

At the end of the Free Period, the Service may automatically convert into a paid subscription if you were informed of this when activating it. In that case, you may cancel it before the trial ends to avoid any charge. If no automatic conversion was indicated, access will simply be deactivated at the end of the free period.

8. Electronic communications.

By using the Service, you agree to receive electronic communications from us, such as notices, agreements, updates, or any other information related to your use of the Platform. These communications are fully legally valid and satisfy any requirement that they be in writing.

If at any time you no longer wish to receive promotional or marketing messages from Yana, you can easily unsubscribe by clicking the option that appears at the end of each email, usually labeled “I no longer wish to receive this type of message” or similar. Please note that you may continue to receive some messages for a short period while we process your request, including an email confirming that you will no longer receive communications of this kind. Your decision not to receive promotional messages does not affect your access to or use of the Service.

9. Push notifications.

If you install our application on your mobile device, you agree to receive automatic (push) notifications, that is, messages we send you even when you are not using the app. You can turn them off at any time from your device settings or from the app’s own options.

10. Payment method.

Unless a different method is indicated for particular cases, the Services offered through the Platform will be paid in the currency indicated by the app store from which you download the application, and exclusively through such stores: Apple Store if you use an iOS device or Google Play Store if you use an Android device.

The available payment methods will depend on your country of residence and the terms and conditions of such platforms.

11. Promotions.

Yana may at any time offer promotions to encourage Users to purchase a Subscription; however, Yana reserves the right, in its sole discretion, to implement, modify or remove any of the promotions offered. We invite you to review the specific terms and conditions of each promotion you wish and are eligible to apply for, since those terms and conditions will be the rules governing the promotion, and accepting a promotion obliges you to fully comply with its specific terms and conditions.

12. Third parties and artificial intelligence

Please be advised that Yana uses Artificial Intelligence systems provided by third parties to facilitate your conversational interactions, generate content and, in general, provide you with a better user experience. By using our Platform, you acknowledge and accept that the responses, recommendations and content generated by Yana are produced through automated and probabilistic processes and may therefore contain errors, omissions, biases, inaccuracies, outdated information or incorrect interpretations of context. Accordingly, the information and content generated by Yana are for informational and recreational purposes only and do not constitute medical, psychological, psychiatric or professional advice of any kind, nor do they replace human judgment, consultation with professionals or the intervention of specialized services.

Please note that Yana uses various external Artificial Intelligence providers and is therefore subject to their terms and conditions; however, the content of the conversations you have with the Yana Character WILL NOT be used to train or improve the general artificial intelligence models of such providers. The conversations you have with the Yana Character will be kept solely by Yana, separated from your email address through pseudonymization processes, and may be used by Yana exclusively for purposes of maintaining, monitoring and improving the quality of the Services.

By using Yana’s Services, you acknowledge that the Artificial Intelligence used by Yana is a constantly evolving technology. Accordingly, Yana may modify, update, replace or discontinue models, providers, functionalities or features of the Platform when necessary for technical, operational, economic or regulatory reasons, or to improve the Service.

13. Marketing.

Yana may send you operational messages related to your account and the Services to the email address you provided to us. The sending of marketing messages will be subject to the provisions of the Privacy Notice and the applicable law of your country of residence, and you may unsubscribe at any time.

14. Minors.

In accordance with the laws applicable in the jurisdiction where you are located, the use of any of the Services offered by Yana is intended solely for persons of legal age. Accordingly, you represent, under oath, that by accepting this Agreement you are of legal age under the laws of your country of residence, or that you are 13 (thirteen) years of age or older and have the authorization of your parents or guardians in accordance with the following paragraph, and that you have the mental capacity necessary to understand and accept this Agreement.

If you are a minor but are 13 (thirteen) years of age or older, you may use Yana’s Services solely and exclusively if you have the consent of your parents or guardians, it being understood that under no circumstances may Yana interact with children under 13 (thirteen) years of age. Therefore, if you are a minor and do not have the authorization of your parents or legal guardians, or if you are under 13 (thirteen) years of age, you must refrain from using the Platform.

By using the Service and accepting these Terms and Conditions, you represent and warrant that:

(a) you are of legal age under the laws of your country of residence, or you are 13 (thirteen) years of age or older and have the authorization of your parents or guardians, and you have accepted these Terms on your own behalf or with their authorization;

(b) you have not previously been suspended or removed from Yana’s Service; and

(c) your registration and use of the Service comply with all applicable laws and regulations.

If you are a guardian and accept these Terms and Conditions on behalf of a minor user, you agree to supervise the minor’s use of the Service and assume full responsibility for compliance with these Terms and Conditions.

15. Account deletion.

You may delete your Yana account from the settings menu. By requesting the permanent deletion of your User Profile, you acknowledge that the loss of your progress, virtual coins, customization attributes and the record of your interactions with the Yana Character will be permanent and final, with no possibility of restoration. Virtual coins have no monetary value, are non-refundable and may not be assigned or transferred. The handling of your personal information after account deletion will be governed by the provisions of our Privacy Notice.

16. Limitation and release of liability.

Neither the Services nor the Platform include or provide medical, mental health or any other type of health services; you therefore understand and accept that Yana is a Platform of a solely recreational nature. Accordingly, the Platform does not and will not offer medical or clinical advice. You are always advised to seek the advice of your doctor or specialist for any question related to your physical or mental health.

You should never ignore a doctor’s advice or delay seeking professional help because of something you have read on Yana. In the event of a mental or emotional crisis, it is essential that you contact a specialist or crisis hotline directly.

You acknowledge and accept that Yana is solely an informational and recreational site, that it does not provide medical opinions or assessments, that the Platform is not a healthcare service nor a substitute for one or for the recommendations, diagnoses or treatments of medical professionals, and that there will be no human interaction. Accordingly, you release Yana from any obligation and/or liability regarding your care, and you undertake to seek care and diagnosis from a duly accredited health specialist.

Yana may at any time restrict your use of the Platform and/or prohibit your access to and use of it if it detects that you are using the Platform and/or the Services contrary to the provisions of this Agreement.

You expressly acknowledge and accept that your use of the Platform is at your own risk and under your sole and strict responsibility. Yana makes no representation and gives no express warranty regarding the truthfulness, timeliness, suitability, reliability, availability, opportunity, security or continuity of the operation and functioning of the Services and Content of the Platform, or of the information, advertising, marketing and promotions of third-party advertisers, nor regarding the absence of viruses or other harmful components, or the accuracy or usefulness of the content and/or services of the Platform.

In certain circumstances, Yana may identify, through its artificial intelligence tools and providers, patterns suggesting that you are in a crisis situation. However, such identification does not constitute a guarantee or a diagnosis, since artificial intelligence systems may make mistakes, produce inaccurate results or fail to properly interpret the context, tone or intent of communications. Accordingly, Yana DOES NOT guarantee the timely or accurate detection of all crisis situations and does not replace the care, assessment or intervention of health professionals, emergency services or other specialized resources. You are solely responsible for seeking professional assistance or contacting the appropriate emergency services when needed.

The content and/or services of the Platform are provided “as is”, without warranty of any kind. You agree that Yana, its subsidiaries, affiliates, officers and employees shall not be liable, to the extent permitted by applicable law, for any damage or loss of any nature to you or to third parties, including, by way of example:

• loss of use, data or profits arising from or related to the use or performance of the sites, content or services of the Platform,

• delay in or inability to use the sites, content or services of the Platform,

• non-provision of services, or failure to honor offers and promotions of third-party advertisers, or any other information not related to Yana.

Yana shall not be liable for indirect, incidental, consequential or special damages, including, by way of example and not limitation, any loss of revenue, profits or lost earnings, or for moral damages arising from the use of the Services or the breach of these terms. In any event, and to the extent permitted by applicable law, Yana’s total aggregate liability to the User for any claim related to the Services shall not exceed the amount actually paid by you to Yana during the twelve (12) months prior to the event giving rise to the claim. For Users who have not made payments to Yana (who use the free service) during that period, Yana’s maximum liability shall be limited to MXN $2,000.00 (two thousand Mexican pesos 00/100).

17. Hacking.

You agree and undertake not to attempt to damage, deny service to, hack, crack, reverse engineer or interfere with the Platform in any way. You also acknowledge that accessing the Platform for the purpose of copying Yana’s processes and methods is prohibited. If you interfere with the Platform in any way or carry out any prohibited activity, you undertake to pay all damages caused to Yana.

Yana will cooperate with the authorities in the prosecution of any User who interferes with the Platform, carries out any prohibited activity or attempts to commit fraud against Yana or any other party through the use of the Platform or the Services provided through it.

Yana reserves the right to deny part or all of the access to the Platform or the service to any User for any reason, at any time and at its discretion. You agree that Yana may block your IP address or addresses at any time to prevent continued use of the Platform.

18. Prohibitions.

When using the service, you undertake:

1. a) Not to use the Service and/or the Platform as (or to provide) any legal, medical or other professional advice, or for any illegal purpose or in violation of any local, state, national or international law;

2. b) Not to use the Service or any product to develop or train any AI or machine learning model;

3. c) Not to interfere with the security-related features of the Service, reverse engineer, or otherwise attempt to discover the source code of any part of the service, except to the extent such activity is expressly permitted by applicable law;

4. d) Not to carry out any fraudulent activity, including impersonating any person or entity, claiming a false affiliation or identity, accessing any other account on the service without permission, or using the Service in a way that deceives or attempts to deceive any person;

5. e) Not to falsify your age or date of birth;

If you believe that any Content, Service or the Platform itself has been used or exploited in a way that infringes an intellectual property right, please notify us immediately at [email protected]

19. Additional terms.

The use of certain Services or tools is subject to certain additional terms, policies, rules or guidelines (the “Additional Terms”). All Additional Terms form part of these terms.

20. Limited license to the platform.

Yana hereby grants you a limited, non-exclusive, revocable and non-sublicensable license to use the Platform in accordance with this Agreement. This license will remain in effect for as long as the relationship between you and Yana continues, or until it is canceled by Yana. If, under applicable law, it is necessary to establish a term for the license granted, it shall have a duration of 1 (one) year, automatically renewable for periods of the same duration, until it is canceled or the relationship between you and Yana ends for any reason.

Accordingly, you are expressly prohibited from selling, renting, allowing third-party access to, redistributing and/or transferring the Content of the Platform.

By downloading the Platform through the Apple App Store or Google Play Store (the “Stores”), you acknowledge that you may be subject to additional conditions imposed by those entities. It is essential to clarify that, by interacting with Yana and expressing your acceptance of this Agreement, you establish a direct legal relationship with Us (the relationship is exclusively between the User and Yana, and not with the corresponding Store). Accordingly, you acknowledge that:

• This agreement is entered into solely between you and Us, excluding any liability of Apple Inc. (“Apple”) or Google LLC (“Google”); Yana assumes full responsibility for the application and its Content;

• Neither Apple nor Google assumes any obligation regarding technical support, maintenance or warranties for the Platform;

• Any claim relating to product liability, regulatory compliance, consumer protection or intellectual property must be directed solely and exclusively to Yana;

• Apple and Google act as third-party beneficiaries of this Agreement and retain the right to enforce the obligations agreed herein;

• Using the Platform in a manner incompatible with or in violation of the Usage Rules or policies of Apple or Google is strictly prohibited;

• The license granted is limited to a non-transferable right to operate the Platform on devices that you own or control;

• Any communication, question or dispute related to the application must be directed to the email address: [email protected];

• It is reiterated that Google and Apple have no service obligations to the User in relation to these Terms and Conditions; and

• Both parties expressly acknowledge that Apple and Google are third-party beneficiaries who, upon acceptance of these terms, acquire the legal right to supervise and enforce these provisions against the User.

21. External links.

In order to improve the quality of the Platform’s service, Yana may include one or more links to other websites at any time. The web pages you may access from the Platform are not under Yana’s control.

Yana is not responsible for the content of any web page linked to the Platform, including those related to your social networks, or for any damage that may arise from the use of such links.

Some services that are or may be offered through the Platform may contain specific terms, which will be in addition to these.

22. No association.

You agree that no business relationship, association, partnership, employment relationship, subordination, agency, commission or any similar relationship exists between you and Yana as a result of this Agreement.

23. Intellectual property.

The intellectual property rights to the Services and Content found within the Platform (by way of example and not limitation: trademarks, slogans, images, sound, video, software, etc.) are the exclusive property of Yana. These rights include all trademarks registered and/or used in Mexico or abroad, as well as rights to inventions (patented or not), industrial designs, characters, drawings, works, utility models, confidential information, trade names, commercial slogans, reservations of rights, domain names and any economic rights derived from copyrighted works and other forms of industrial or intellectual property recognized by law.

If you believe that the Platform infringes or affects the intellectual property rights of third parties, you must notify Yana at the address indicated in this Agreement, providing all relevant information.

24. User-uploaded content.

By uploading or posting Content to the public or community sections of the Platform, you grant Yana a worldwide, non-exclusive, royalty-free and fully paid-up right and license (with the right to sublicense through multiple tiers) to host, store, transfer, publicly display, reproduce and modify such Content for the purpose of operating those sections.

The Content you generate in private sections of the Platform, including your conversations with the Yana Character, your personal notes and your mood records, is not visible to other Users and will not be publicly displayed by Yana. With respect to such Content, the license is limited to what is necessary to operate, maintain and improve the Services.

By uploading Content to the Platform, you warrant that you hold the rights to such Content. You must not upload Content that you do not own or that you are not fully authorized to license. You agree and understand that you are solely responsible for the Content you upload. By uploading Content, you affirm, represent and warrant that:

1. a) you are the creator and owner of the Content, or you have the licenses, rights, consents and permissions necessary to authorize its use.

2. b) the Content does not infringe or violate the rights of third parties, including copyright, intellectual property, privacy or any other right.

3. c) the Content does not slander, defame or invade the privacy, publicity or other proprietary rights of third parties.

4. d) the Content is not profane, indecent, pornographic, harassing, threatening or otherwise inappropriate.

Yana has no obligation to edit or monitor the Content you upload and shall in no way be responsible for such Content. However, Yana may, at any time and without prior notice, filter, remove, edit or block any Content that, in our sole judgment, violates these Terms and Conditions.

25. Confidential information.

All information disclosed by Yana, its affiliates and/or subsidiaries, whether verbally, electronically, visually, in writing or in any other form, including without limitation ideas, formulas, databases, standards, studies, publications, manuals, systems, procedures, reports, technical reports, know-how, trade secrets, software, data, algorithms, strategies, customer or supplier lists, business plans or any other information related to its operations, is and shall remain the property of Yana.

You do not acquire any rights over such information, and you undertake not to copy, sell, use or dispose of it in any manner other than as authorized by Yana.

You also undertake not to use, exploit or disclose such information, directly or indirectly, and to take all reasonable measures to prevent its misuse.

You acknowledge that the Content may constitute a Trade Secret under applicable law, and you undertake not to disclose it under any circumstances.

26. Modifications.

In order to improve and update the Services offered, we may modify, update or supplement, at any time, the Platform, its functionalities, features, content and/or the conditions under which the Service is provided. Such modifications may be made whenever we deem it necessary or appropriate, including, by way of example and not limitation, for technical, operational, commercial, security or regulatory compliance reasons.

If you have an active subscription at the time a modification is made, you will keep access to the Service for the period corresponding to your current billing cycle, under the applicable terms. If you consider that the modifications represent a substantial change from the Service originally purchased, you may send us your comments, complaints or requests at [email protected].

Continued use of the Platform after the effective date of the modifications shall be deemed acceptance of them. If you do not agree with the modified terms, you must immediately stop using the Service.

27. Severability.

If any clause is found to be invalid or unenforceable, it shall be replaced by a valid clause that fulfills its purpose. The remaining provisions shall remain in effect.

28. Breach.

In the event of a breach of this Agreement or of applicable law, Yana may suspend your access or delete your profile, without prejudice to any legal actions that may apply.

Notwithstanding the foregoing, you undertake to hold Yana harmless from any claim arising from your breach, covering legal costs and any corresponding compensation.

29. Comments, complaints and suggestions.

For any comment or suggestion, you may contact Yana at: [email protected]. Any information you send shall not create any obligation for Yana.

If you share with us comments and/or suggestions about existing features, issues, or modifications or improvements to Yana, you grant Yana the unrestricted, perpetual, irrevocable, non-exclusive and royalty-free right to exploit such comments in any manner and for any purpose, including improving the Service and creating other products and services.

30. Term.

This Agreement will be in effect from the moment you accept it until you stop using the Platform or Yana deletes your account for any reason.

Upon termination of your relationship with Yana, your license rights will end and you must immediately cease all use of the Service, and you will no longer be authorized to access your User Profile.

31. Headings.

Headings are included solely for ease of reading and do not affect the interpretation of the Agreement.

32. Language.

This Agreement may be made available to you in different languages. In the event of any discrepancy between versions, the Spanish version shall prevail, to the extent permitted by applicable law.

33. Governing law and jurisdiction.

Yana is operated by a company located in the United Mexican States. If you access the Platform from outside Mexico, you do so at your own risk and are responsible for complying with the laws applicable to you. We do not guarantee that the Service is appropriate or available for use outside Mexico, and accessing or using it from territories where such use is illegal is therefore prohibited.

In the event of any disagreement or dispute, we will first seek to resolve it with you amicably. If no solution is reached, you agree that the dispute will be resolved through arbitration, that is, by a neutral arbitrator rather than a judge or jury. This arbitration agreement applies to any claim related to the Agreement or to the use of the Service, regardless of its legal basis or when it arises, even after its termination. Any question regarding the interpretation, validity or scope of this arbitration agreement shall also be decided by the arbitrator.

The foregoing does not limit your right or Yana’s right to go individually to court; to bring actions before competent administrative or governmental authorities where appropriate; or to seek injunctive relief or bring legal actions in intellectual property matters.

In all cases, this Agreement is governed by the laws of the Mexican Republic. Where arbitration is not applicable or is not sufficient to resolve the dispute, it shall be submitted to the competent courts of Mexico City, with you and Yana waiving any other jurisdiction that may correspond to them by reason of their present or future domicile.

To the extent permitted by applicable law, both you and Yana agree that any claim will be brought solely on an individual basis, and not as a plaintiff or member of any class, representative or consolidated action. The arbitrator may not consolidate the claims of more than one person or preside over any class or representative proceeding, and may only award relief in favor of the individual party seeking it and to the extent necessary to address that party’s individual claim. If this provision is found to be invalid or unenforceable in any jurisdiction, such invalidity shall be limited to that jurisdiction and shall not affect the validity of the rest of this section or of the Agreement
